Thanks everyone for your help.
I found the answer with help of your post and from my research.
If the infrastructure master finds data that is out-of-date, it requests the updated data from a global catalog. The infrastructure master then replicates that updated data to the other domain...
I guess you did not read my post correctly?
I did not ask half a dozen question.
Is it true that if I dont make second DC a GC it want be able to authenticate? I am almost sure that this is true but what I was looking for is the reason?
and also need to know reason why infrastructure role is...
when it's up and running check what services are running (msconfig)? disable all services on start but microsoft. check out if it makes difference.
As makosi said it might be applying GP (it also depends how many GP you have)
I found out online that if this files are missing I manually need to create them.
Next question is logo, the logo itself is not on each users PC, how this will work? Same applies to GP.
I have two DC in our network. Both on same physical location. Do I need to make second DC Global Catalog or no?
Is it true that if I dont make second DC a GC it want be able to authenticate? What's the reason? and what's the recommendation?
Infrastructure role is recommneded not to put on a GC...

I agree with user125 there is nothing wrong using using self signed cert no matter how many users are accessing OWA, its still going to do job like verisign.
As 58snipper said, all the user will have pop up to agree on selfSSL but there is a work around on that. I think you can get rid of it...
I have done that but it's not able to resolve Name to IP address but it works when I put IP Address.
I think I need to find right DNS Server name from third party.

Issue is with exchange...

2)SSL Enabling OWA 2003 using your own Certificate Authority
http://www.msexchange.org/tutorials/Creating-Certificate-OWA2003-SelfSSL.html
3)Password...
