Problem solved. I have successfully configured the router and pix and can now send and receive mails via the exchange server using only the internal IP (1 NIC). I got some more hint from http://www.firewall.cx/ftopict-5821.html

I have stopped the ICS, and installed NAT to use RRAS, then used the netsh command to add the internal interface to NAT. I used a static address pool of 192.168.0.22 (to 24). The remote win2k client connects to the server but cannot browse. It also cannot ping the NIC2 with the ip 192.168.1.100...
