Was the Exch2k box the "1st Exchange server" in the domain? If so, you need to move a few services over to the new exchange box (offline address book, RUS, public folders, etc).

do you have a firewall between the two exchange servers? you might need to turn off statefull smtp inspection...try "telnet [servername] 25" from both directions, do you get a clean esmtp response?

The key here is "mail enabling" any of the types of groups you mentioned.
Check out this link on the differences...ultimately, you can mail enable most groups to a mail distribution list...
For active directory, all member servers that you want to run DHCP have to be authorized to the AD. Note, you need to be logged in as an Enterprise Admin to authorize.

check your vitual server settings from ESM...make sure the default domains are configured at each level of the http virtual servers.
If you are getting denied errors, try removing the "integrated authentication" option and use basic authentication. You may need to restart WWW on the front-end...

I highly suggest re-seating the Processor. Typically, if the processor is not firmly seated...then the server won't boot. I've seen this many times.

You need to configure a Connection Agreement (CA) on your Active Directory Connector (which should have been a prereq for Exchange 2k). Typically, you do this for each container in 5.5. The CA replicates data from 5.5 to AD/E2k until you run in native mode.
