I highly recommend AGAINS opening up POP# or IMAP4. OWA is the way to go, and you DON'T need CALs for it.
Also, be smart... install a second DC. It's alot easier to just install an additional DC during an outage than it is to restore Active Directory and Exchange to the domain.

I would also HIGHLY recommend deleting your "badmail" files. In these days of SPAM you will probably get loads of disk space this way.
(Oh, and yeah... don't delete your transaction logs... not good.)
There are bloaters of variables not included in your post. Information like:
Location of servers (original and upgrade)
Active Directory as it relates to your DNS
These two categories alone amount to a book. If you want an answe to this you're going to have to supply alot more detail.
