SOLUTION FOUND !!!!
I had to download and use the "DriverMagic Utility" (Driver_Wizard_setup.exe) which showed all the drivers on my computer and their UPDATES.
For "CRYSTAL WDM AUDIO DEVICE" it showed the updated file (Crystal_CS4235_w95us272.zip) which I downloaded from the DriverMagic...

To fix this problem, I had to go "START - RUN - MSCONFIG - ADVANCED - LIMIT MEMORY TO 288MB" . . . .
and "UNCHECK" that Option.
Now, my OS is detecting the whole 320MB of RAM.
There was nothing wrong with the BIOS, Memory Modules, or OS...
JUST WONDERING . . .
I read somewhere, "THE KERNEL IS CONFUSED ABOUT THE AMOUNT OF MEMORY IN YOUR SYSTEM."
Try booting with "extra parameter" . . . MEM=320M
I remember the word "APPEND" - so maybe it said,

MEMTEST-86 v3.0 did NOT find any errors after 4-hours.
However, the documentation on this program does not really explain HOW to run it . . . so I just let it run automatically after I rebooted.
I guess NO "extended tests" were performed because I don't see HOW to...
