I can either get 1 Layer 3 switch, and 2 Layer 2 switches, or just get 3 Layer 2 Switches and keep the sonicwall inplace as the router.

I've got a Site 2 Site VPN, and it keeps dropping. I setup PRTG Traffic Grapher (great program) and see that the the VPN is dropping when bandwidth is maxed out.
Is there a way to prioritize the Site2Site VPN so this doesn't happen?

Well bandwidth management doesn't give you the granularity a shaper would, as it isn't an application layer (layer 7) device. You can only block or limit bandwidth on ports rather then the applications themselves.
